Terms of Service

By accessing or using the Origin Series website (the “Site”), you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site.

We may update these Terms from time to time. Material changes will be reflected by a new effective date at the top of this page. Continued use of the Site after a change constitutes acceptance of the revised Terms.

Origin Series is a forthcoming product offering. The Site is a preview. Cards depicted are mock-ups; nothing on the Site is currently available for sale. Applications are accepted by invitation, in our sole discretion.

The Site is intended for use by adult professionals — company founders, investors, advisors, and their authorised representatives. You must be at least 18 years of age to use the Site or submit an application. By using the Site you represent that you meet these requirements.

Submitting an application does not entitle you to receive a card, access to any future marketplace, or any other consideration. We may accept, decline, or place applications on hold at any time and for any reason or no reason.

You are responsible for the accuracy of information you submit. We may verify submitted information through reasonable means.

Nothing on the Site constitutes an offer to sell or a solicitation to buy any security, collectible, derivative, or financial instrument. Card values, company valuations, percentage changes, index levels, and similar figures shown anywhere on the Site are indicative only, are not based on actual trading, and do not reflect any current or future market price.

Nothing on the Site is investment advice, legal advice, tax advice, or a recommendation of any kind. You should consult your own advisors before making any financial decision.

Any references on the Site to a secondary marketplace, transfers between holders, or pricing for held cards are forward-looking and aspirational. The marketplace is not operational and may never be launched. We make no representation that any cards will ever trade at any particular value, or trade at all.

The Site, including its design, text, photographs, illustrations, videos, logos, and underlying code, is owned by or licensed to Origin Series and is protected by applicable copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, republish, modify, distribute, sell, or create derivative works from any portion of the Site without our prior written consent.

You agree not to use the Site to:

(a) violate any applicable law or regulation; (b) infringe any third-party intellectual-property or other right; (c) probe, scan, or test the vulnerability of the Site or attempt to bypass any security feature; (d) automate access to the Site by any means; or (e) interfere with any other party’s use of the Site.

The Site is provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

To the maximum extent permitted by applicable law, in no event will Origin Series or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Site, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the Site or these Terms is limited to one hundred United States dollars (US$100) or the amount you have paid us in the twelve months preceding the claim, whichever is greater.

You agree to indemnify, defend, and hold harmless Origin Series and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
